Agreement to These Terms
These Terms of Service ("Terms") govern your access to and use of Kelt Forge, an agentic software engineering platform operated by Kelt Agentic Systems, LLC ("Kelt Forge," "we," "us," or "our"). By accessing or using Kelt Forge, you agree to these Terms. If you are using Kelt Forge on behalf of an organization, you agree to these Terms on that organization's behalf, and "you" refers to both you and that organization.
Kelt Forge is currently invite-only: there is no public, self-service account creation. You gain access because an administrator of an organization already using Kelt Forge invited you by email, and you accepted that invitation by signing in. Each individual person who accesses Kelt Forge must personally accept these Terms and our Privacy Policy before reaching any part of the product beyond sign-in — an organization administrator inviting you does not accept these Terms on your behalf.
The Kelt Forge Service
Kelt Forge lets you describe a software task in plain language against an existing code repository or a new project. Its AI agent system ("Forge AI") plans the change, writes code, runs the project's own tests, and produces a reviewable Git commit. Nothing Forge AI does reaches your project's main branch without an explicit approval step you or your organization control.
Depending on the model routing configuration in effect for your account, Forge AI may route a given task to Anthropic's Claude models or to one or more additional, separately configured model providers. See "Third-Party Services" and our Privacy Policy for how your prompts and code are handled by these providers.
Eligibility and Your Account
You must be invited by an organization administrator and authenticate with a valid email address to use Kelt Forge. Sign-in is passwordless: we send a one-time link to your email, and you are responsible for keeping access to that email account secure, since anyone with access to it can sign in as you.
You must be at least 18 years old and legally capable of entering into a binding contract to create an account or use Kelt Forge. If you are accessing or using Kelt Forge on behalf of an organization, you represent that you have the authority to bind that organization to these Terms. You represent that all information you provide (your email address, display name, and any organization or billing details) is accurate.
Organizations, Roles, and Team Access
Projects, billing, and integrations belong to an organization, not to an individual user. Within an organization, members hold one of three roles — admin, developer, or read-only — that determine what they can view or change. Organization admins are responsible for who they invite, what role they grant, and removing access promptly when it should end.
A platform super administrator role exists for Kelt Forge's own operational and support purposes. It grants oversight of organizations and users at a platform level; it does not by itself grant access to another organization's private projects, source code, secrets, or integration credentials.
Your Content and Projects
"Your Content" means the source code, project files, uploaded assets, prompts, and conversation history you or your organization submit to Kelt Forge, and the repositories and projects you connect or create. As between you and us, you retain all ownership rights in Your Content.
You grant us a limited license to host, store, process, transmit, and display Your Content solely as necessary to provide and operate Kelt Forge for you — including sending relevant portions of it to the AI model providers described below so Forge AI can act on your requests. We do not sell Your Content, and we do not use it for any purpose unrelated to providing the Service to you, except as this Agreement or our Privacy Policy describes.
You are responsible for having the rights necessary to submit Your Content to Kelt Forge, including any third-party code, assets, or data included in a repository you connect.
AI-Generated Output and Your Responsibility for Review
Forge AI generates plans, code, and commits based on your prompts and your repository's own content. AI-generated output can be incorrect, incomplete, insecure, or unsuited to your actual requirements. Kelt Forge's approval-gate design exists specifically so a human reviews the plan and the diff before a change reaches your main branch — you are responsible for that review.
We make no warranty that AI-generated code is correct, secure, fit for a particular purpose, or non-infringing. You are responsible for testing, securing, and validating any code you approve and deploy, in the same way you would be responsible for code written by any other contributor to your project.
Kelt-Managed and Self-Managed Infrastructure
For each project, you may choose to let Kelt Forge provision and manage that project's GitHub repository and/or Vercel deployment on your behalf ("Kelt-managed"), or connect and use your own GitHub and Vercel accounts directly ("self-managed"). Either way, the same review and approval workflow applies to changes reaching your main branch.
Where you connect your own third-party accounts (for example GitHub or Vercel), credentials for those accounts are held and used server-side by Kelt Forge on your instruction, are not written into your project's own code, and are not exposed to Forge AI's generated code. Your use of a connected third-party account remains subject to that provider's own terms.
Subscriptions, Kelt Credits, and Payment
Paid access to Kelt Forge is billed through Stripe on a subscription basis. Each subscription plan includes a monthly allotment of Kelt Credits, which are consumed as Forge AI performs work on your behalf. Included subscription credits reset at each renewal and do not carry over; credits you separately purchase do not expire and are used only after your subscription credits for the period are exhausted.
Subscriptions renew automatically at the end of each billing period until canceled. You can cancel at any time; cancellation is effective at the end of your current paid billing period, unless applicable law requires otherwise, and you keep plan access and any remaining credits until then. If offered, an auto-recharge feature will automatically purchase an additional credit package using your saved payment method when your balance runs low, and can be turned off at any time.
Some accounts begin with a free trial that includes a limited, one-time grant of Kelt Credits. A trial does not automatically convert to a paid subscription without your action — you choose when, and whether, to subscribe.
Subscription payments and purchased Kelt Credits are generally non-refundable once charged, except where required by law or where we determine that a duplicate charge, billing error, or qualifying service failure warrants a refund or credit adjustment. If Kelt Credits are incorrectly consumed as a result of a verified failure of the Kelt Forge system, we will ordinarily correct this by restoring the affected credits. We do not provide refunds for provider usage that was actually consumed simply because you are dissatisfied with an AI-generated result or output, except where required by law or specifically approved by us. All fees are exclusive of applicable taxes, which will be charged where required.
Acceptable Use
Your use of Kelt Forge is also governed by our Acceptable Use Policy, which describes conduct that is prohibited on the platform, including specific restrictions on how Forge AI may be directed to act. The Acceptable Use Policy is incorporated into these Terms by reference.
Third-Party Services
Kelt Forge is built on and integrates with third-party infrastructure and service providers, including AI model providers (such as Anthropic, and optionally other providers configured for your deployment), Supabase, Vercel, Amazon Web Services, Stripe, GitHub, and — for mobile app preview features, where used — Appetize. Our Privacy Policy describes these providers' roles in more detail. Your use of any third-party account you connect to Kelt Forge (such as your own GitHub or Vercel account) is also governed by that provider's own terms.
Suspension, Termination, and Effect on Your Data
We may suspend or terminate your access to Kelt Forge if you violate these Terms or the Acceptable Use Policy, or if required to comply with law. An organization admin may remove a member's access at any time. You may stop using Kelt Forge at any time; an organization admin may request deletion of a project, which removes that project's data and associated secrets through our automated deletion process.
Disclaimers
Kelt Forge is provided "as is" and "as available," without warranties of any kind, whether express, implied, or statutory, including any implied warranty of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or secure against all possible threats. Kelt Forge does not currently hold any third-party security certification (such as SOC 2 or ISO 27001) and makes no claim to one.
Limitation of Liability
To the maximum extent permitted by law, Kelt Agentic Systems, LLC will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or goodwill, arising from your use of Kelt Forge, even if advised of the possibility of such damages. Our total liability for any claim arising out of or relating to these Terms or the Service will not exceed the amount you paid us for the Service in the twelve (12) months immediately preceding the event giving rise to the claim.
Indemnification
You agree to defend, indemnify, and hold harmless Kelt Agentic Systems, LLC from any claim, liability, damages, and expense (including reasonable attorneys' fees) arising from your use of the Service, Your Content, or your violation of these Terms or the Acceptable Use Policy.
Governing Law and Disputes
These Terms are governed by the laws of the State of California, without regard to its conflict-of-laws principles. Any dispute arising out of or relating to these Terms or the Service will be subject to the exclusive jurisdiction and venue of the state and federal courts located in Orange County, California, subject to applicable law.
Before initiating any litigation, you agree to first send written notice of the dispute to legal@kelt.com and engage with us in good faith for at least thirty (30) days to try to resolve it informally, to the extent permitted by applicable law.
Changes to These Terms
We may update these Terms from time to time. Each version of these Terms is dated and recorded with its own content. If we make a material change, you will be required to affirmatively accept the updated Terms again before continuing to use Kelt Forge; for a non-material change (such as a clarification or correction), continued use of the Service after the update takes effect constitutes acceptance.
